SnapLogic, Inc. (“SnapLogic”) is committed to conducting business in a manner that upholds the highest standards of integrity, compliance, and corporate responsibility. This Third Party Code of Conduct sets forth the expectations we have for all individuals and organizations that do business with us, including but not limited to suppliers, vendors, resellers, distributors, referral partners, contractors, consultants, and other service providers (collectively, “Partners”).
This Code is not intended to cover every applicable law or ethical issue, but it does highlight the key standards that form the foundation of our relationships with third parties. We expect our Partners to conduct themselves in a manner that is consistent with these expectations and to ensure that their employees, agents, and subcontractors do the same.
1. Compliance with Laws and Regulations
Partners must comply with all applicable national, state, and local laws, rules, and regulations in the jurisdictions in which they operate or conduct business. This includes, without limitation:
- Anti-corruption and bribery laws (e.g., FCPA, UK Bribery Act)
- Antitrust and competition laws
- Trade control, export, and import regulations
- Environmental regulations
- Employment and labor laws
- Data protection and privacy laws (e.g., GDPR, CCPA)
2. Ethical Business Practices
We expect our Partners to uphold the highest standards of ethical conduct in all business interactions. This includes:
- Anti-Bribery and Corruption: Bribes, kickbacks, or other forms of improper payments must never be offered, promised, made, or accepted.
- Conflicts of Interest: Partners must avoid situations where personal or financial interests conflict, or appear to conflict, with their duties to SnapLogic.
- Gifts and Hospitality: Gifts, entertainment, and hospitality must be reasonable, infrequent, and not intended to improperly influence any business decision.
- Accurate Recordkeeping: All business dealings must be transparently recorded in accurate books and records.
3. Fair Labor Practices and Human Rights
SnapLogic is committed to protecting human rights and promoting fair labor practices. Partners are expected to:
- Prohibit all forms of forced labor, bonded labor, and human trafficking
- Ensure no child labor is used, in accordance with international labor standards
- Comply with applicable wage, hour, and benefits laws
- Provide a workplace free from unlawful discrimination, harassment, and abuse
- Treat workers with dignity and respect
4. Workplace Health and Safety
Partners must provide a safe and healthy working environment. This includes:
- Implementing appropriate occupational health and safety policies
- Taking steps to prevent workplace accidents and injuries
- Complying with local laws and industry standards related to safety
- Providing appropriate protective equipment and safety training
5. Environmental Stewardship
Partners are expected to operate in an environmentally responsible and sustainable manner. This includes:
- Complying with applicable environmental laws and regulations
- Minimizing waste, emissions, and environmental impact
- Promoting energy efficiency and conservation
- Using environmentally responsible materials and practices where feasible
6. Data Protection and Confidentiality
Partners must protect the confidentiality, integrity, and security of SnapLogic’s data, including personal data, customer data, and trade secrets. This includes:
- Complying with applicable data protection and privacy laws
- Using appropriate technical and organizational measures to safeguard data
- Using SnapLogic confidential information only for authorized purposes
- Reporting any suspected data breaches or security incidents promptly
7. Intellectual Property and Use of Assets
Partners must respect the intellectual property rights of SnapLogic and others. This includes:
- Not using SnapLogic trademarks, logos, or branding without authorization
- Protecting SnapLogic intellectual property from unauthorized use or disclosure
- Using SnapLogic-provided tools, systems, and assets only for legitimate business purposes
8. Responsible Sourcing and Subcontracting
Partners are responsible for ensuring that their supply chains and subcontractors also adhere to the principles of this Code. SnapLogic may request visibility into supply chain practices and expects partners to monitor and improve social and environmental performance where necessary.
9. Trade Compliance and Sanctions
Partners must ensure that all transactions involving SnapLogic comply with applicable trade control and economic sanctions laws, including restrictions involving embargoed countries, denied parties, or export-controlled technologies.
10. Reporting and Accountability
Partners must maintain appropriate policies, procedures, and training to support compliance with this Code. We encourage prompt reporting of any known or suspected violations of this Code or applicable law.
Concerns can be reported to your SnapLogic business contact or via a designated reporting channel. Reports will be treated confidentially and without retaliation.
11. Monitoring and Enforcement
SnapLogic reserves the right to assess a Partner’s compliance with this Code. This may include self-assessments, audits, or third-party assessments where appropriate. If a Partner is found to be in violation of this Code, SnapLogic may take corrective action, up to and including termination of the business relationship.
12. Acknowledgment
By doing business with SnapLogic, Partners acknowledge their understanding of, and commitment to, the principles outlined in this Third Party Code of Conduct.
